Terms of Service

These Terms govern your use of Vendar's website, storefronts, checkout and seller app (the "Service"). By using the Service you agree to them. If you do not agree, do not use the Service.

1. What Vendar is

Vendar is a marketplace platform. Independent sellers list and sell products to buyers in the United States and Canada. Vendar is not the seller of any product listed by a store. The contract of sale is between the buyer and the seller. Vendar provides the storefront, processes payment through its payments partner, arranges shipping labels and releases funds to the seller as described below.

2. Eligibility and accounts

• You must be at least 18 years old, or the age of majority where you live, to sell on or buy from Vendar.
• Sellers must be located in the United States or Canada and must complete identity verification with Stripe.
• You are responsible for activity on your account and for keeping your credentials secure.
• Buyers may check out as guests. The order link we email is the key to your order page; keep it private.

3. Selling on Vendar

• You must have the right to sell what you list, describe it accurately and price it in your store's currency (USD or CAD).
• You have 48 hours to accept a paid order. Orders not accepted in that time are declined automatically and refunded to the buyer.
• Once you accept, you must hand the parcel to the carrier promptly using the label provided, unless you ship by your own means and provide tracking.
• You are responsible for your own taxes, licences and compliance with the laws that apply to your products and your business.
• Prohibited items include anything illegal to sell or ship in the US or Canada, weapons, controlled substances, counterfeit goods, recalled products, and anything that infringes another person's rights.

4. Fees

Vendar charges sellers a commission on each completed sale. The rate depends on the product category and is published on the pricing page. There is no monthly or listing fee. Commission is calculated on the item price and deducted before payout. We may change fees with at least 30 days' notice.

5. Payments, holds and payouts

• Payments are processed by Stripe. Vendar does not store card numbers.
• Funds from an order are held until the buyer confirms receipt, or 7 days after the carrier reports delivery, whichever comes first. Vendar will not hold funds for more than 45 days from payment unless required by law or an open dispute.
• Refunds, chargebacks and reversals may be deducted from a seller's balance or future payouts.
• Digital orders complete when payment succeeds and the download is made available.

6. Shipping

Shipping rates shown at checkout come from the carrier. Risk of loss passes according to the carrier's terms. Delivery estimates are estimates. Sellers are responsible for packaging items so they arrive safely.

7. Returns, refunds and issues

Buyers can report a problem from their order page. How returns and refunds work is set out in the Returns & Refunds Policy, which forms part of these Terms.

8. Content and conduct

• You keep ownership of the content you upload. You grant Vendar a worldwide, non-exclusive licence to host, display and promote it in connection with the Service.
• Reviews must reflect a genuine purchase and must not be abusive, misleading or paid for.
• Do not misuse the Service: no scraping, no interference with security, no attempts to take transactions off the platform to avoid fees.

9. Suspension and termination

We may suspend or close stores or accounts that breach these Terms, create risk for buyers, or are required to be closed by law or by our payments partner. You can close your account at any time from the app. Obligations for orders already placed survive termination.

10. Disclaimers and liability

The Service is provided "as is". To the fullest extent permitted by law, Vendar disclaims implied warranties and is not liable for indirect or consequential losses. Nothing in these Terms limits rights you have under consumer protection law that cannot be waived, including under applicable US state law and Canadian provincial law.

11. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which the Vendar entity you contract with is established, without regard to conflict-of-law rules. Mandatory consumer protections in your state or province continue to apply. Please contact us first; most issues are resolved informally.

12. Changes

We may update these Terms. If a change is material we will give notice by email or in the app before it takes effect.
